About the Role

You will serve as a senior legal advisor for commercial contracting and strategic business initiatives. You will draft, review, and negotiate SaaS, software licensing, cloud services, AI-enabled offerings, data processing, professional services, and strategic partnership agreements. You will advise stakeholders, improve contracting processes, support pricing and commercial model initiatives, manage approval workflows, and use AI legal technology tools.

Requirements

  • Juris Doctor from an accredited law school
  • Active bar admission in good standing
  • Eight or more years of relevant in-house or law firm experience supporting technology transactions
  • Extensive experience negotiating SaaS, software, cloud services, professional services, data processing, strategic partnership, and enterprise commercial agreements
  • Understanding of cloud services, software licensing, information security, privacy, intellectual property, and regulatory considerations
  • Experience supporting AI-enabled products and emerging technology issues
  • Experience drafting and negotiating complex commercial and software agreements
  • Proficiency with AI and legal technology tools, Microsoft O365, Google Workspace, and contract management software such as Ironclad

  • Lead customer, procurement, and strategic commercial negotiations
  • Draft, review, and negotiate software, SaaS, cloud services, AI-related, and partnership agreements
  • Drive deals from intake through signature
  • Advise internal stakeholders on commercial, operational, and strategic issues
  • Improve contracting processes, standard forms, and playbooks
  • Use AI legal technology tools to improve efficiency
  • Lead strategic pricing and pricing governance initiatives
  • Support commercial model optimization
  • Prioritize contracts in the internal approval workflow
  • Respond to stakeholder and client questions
