About the Role
You will negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters. You will advise clients, maintain contract playbooks, review junior colleagues’ work, and help improve AI-backed legal tools.
Requirements
- 7-8+ years of post-law-school corporate or transactional experience
- Experience independently negotiating pre-M&A contracts
- Experience with asset managers, investment banks, or other financial services firms
- Law degree
- License to practice law in the Americas (US/Canada)
- Experience with legal technology tools such as AI tools and HighQ
Responsibilities
- Negotiate and manage pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters
- Liaise directly with counterparties and meet agreed turnaround times
- Serve as the primary day-to-day contact for clients
- Maintain and update client playbooks
- Collaborate with and mentor junior lawyers and paralegals
- Review junior colleagues’ work
- Improve the legal technology suite using AI-backed tools
