About the Role

You will manage corporate entity records and governance support, assist with transactions and litigation, coordinate employment matters, support equity administration, and improve legal processes. You will handle confidential information and manage multiple priorities from intake through completion.

Requirements

  • 12+ years of legal experience as a corporate paralegal or other legal professional
  • Substantial in-house experience at a high-growth technology company, venture-backed private company, or corporate law firm
  • Experience with corporate and entity management, litigation support, employment matters, and stock administration
  • Ability to communicate and collaborate with internal and external partners
  • Experience managing multiple concurrent projects and shifting priorities
  • Attention to detail, organization, written communication, verbal communication, and judgment
  • Willingness to learn and adopt new technologies

Responsibilities

  • Manage domestic and international entity portfolios
  • Maintain corporate records, minute books, organizational charts, and entity-management systems
  • Support Board and committee meetings
  • Maintain signature authority matrices and prepare corporate certificates
  • Respond to KYC, banking, customer, and vendor documentation requests
  • Support financings, M&A, joint ventures, and strategic transactions
  • Support litigation, arbitration, disputes, and investigations
  • Issue and manage legal holds and electronically stored information collection
  • Manage litigation calendars, docketing, deadlines, and filings
  • Coordinate responses to subpoenas, service of process, demand letters, and information requests
  • Support employment-related disputes, investigations, policies, and compliance
  • Support equity-plan administration, capitalization-table maintenance, stock transfers, and liquidity programs
  • Build and improve legal processes, templates, checklists, and trackers
