About the Role
You will manage corporate governance and entity administration, support equity matters and transactions, and respond to diligence requests. You will also support employment and litigation work, maintain corporate records, and coordinate with internal partners and outside counsel.
Requirements
- 6+ years of corporate paralegal experience at a major law firm or high-growth technology or financial services company
- Working knowledge of corporate governance, entity formation and maintenance, recordkeeping, and secretary's office functions
- Drafting skills for corporate documentation
- Ability to independently manage multiple time-sensitive workstreams
- Written and verbal communication skills for working with executives, board members, counsel, and partners
- Ability to work in a fast-paced environment
- Judgment handling confidential corporate information
- Bachelor's degree or equivalent practical experience
Responsibilities
- Prepare governance materials, resolutions, certificates, and meeting records
- Track governance obligations across the entity portfolio
- Manage entity formations, dissolutions, qualifications, filings, and registered agents
- Respond to KYC, UBO, and diligence requests
- Support equity administration and corporate equity records
- Run diligence, signature collection, closing checklists, binders, and post-closing obligations
- Support powers of attorney, delegations, and corporate approvals
- Support employment, immigration, litigation, subpoena, legal-hold, e-discovery, and document-production matters
- Respond to garnishments and UCC liens
- Serve as custodian of records and representative in small-claims cases
