About the Role

You will own corporate governance, equity, financing, and entity-management work. You will lead financings and secondary transactions, partner on equity compensation and cap-table administration, support acquisitions and investments, manage outside counsel, build corporate legal systems, and advise on governance and securities developments.

Requirements

• JD and active U.S. state bar membership or eligibility to register as in-house counsel in California
• At least nine years of law-firm or in-house experience
• Experience leading venture or growth-equity financings, secondary transactions, and corporate governance for high-growth private technology companies
• Knowledge of cap-table mechanics
• Knowledge of equity compensation administration
• Knowledge of charter and stockholder agreement provisions
• Business acumen
• Ability to communicate legal concepts for non-lawyers

Responsibilities

• Lead corporate governance and subsidiary governance
• Prepare board and committee meeting materials, minutes, resolutions, consents, charters, and corporate records
• Structure, draft, and negotiate equity and debt financings
• Own secondary transactions and liquidity programs
• Partner on equity compensation and cap-table administration
• Support M&A, acquihires, strategic investments, and other corporate transactions
• Manage outside counsel budgets and schedules
• Build corporate legal infrastructure, templates, workflows, entity-management systems, and foreign-qualification processes
• Support audit, internal controls, and corporate-readiness workstreams
• Monitor private-company governance, equity, and securities developments and advise leadership
