About the Role
You will support corporate legal matters including mergers and acquisitions, investments, corporate governance, securities reporting, capital-markets transactions, entity management, executive compensation, and tax-related matters. You will prepare filings and board materials and work with stakeholders across the organization.
Requirements
- J.D. from an ABA-accredited law school or foreign equivalent
- Membership in at least one U.S. State Bar in good standing
- 5+ years of corporate, securities, and transactional experience at a major law firm and/or in-house
- Interpersonal and communication skills
- Ability to manage competing priorities and meet deadlines
- Critical thinking and attention to detail
- Experience with public technology and/or financial-services companies
Responsibilities
- Draft and review SEC filings and support the annual shareholder meeting process
- Support M&A, investments, and strategic transactions
- Support board and shareholder governance activities
- Prepare and review Board and committee materials, resolutions, and minutes
- Support global subsidiary and entity formation, maintenance, records, and governance processes
- Support investor relations, quarterly earnings, and Regulation FD compliance
- Support treasury and tax matters, capital-markets transactions, credit facilities, stock repurchase plans, tax structuring, and intercompany arrangements
- Develop trusted stakeholder relationships and facilitate coordinated legal support
