About the Role
You will maintain corporate and entity records, support Board processes, and coordinate financings and strategic transactions. You will manage diligence, contracts, filings, calendars, signatures, and legal workflows while ensuring accurate, timely handling of sensitive matters.
Requirements
- 4+ years of corporate paralegal experience
- Experience supporting venture financings, M&A, strategic transactions, tender offers, or complex corporate matters
- Experience with corporate governance, Board processes, entity management, and corporate records
- Experience with Carta, Ironclad, DocuSign, and virtual data rooms
- Project management skills
- Written and verbal communication skills
- Ability to handle confidential, privileged, and sensitive information
Responsibilities
- Maintain corporate records, minute books, resolutions, consents, and governance materials
- Support Board and committee meeting processes and equity plan issuances
- Manage diligence requests, data rooms, transaction checklists, signatures, and closing documents
- Maintain subsidiary and entity records and coordinate corporate filings
- Support securities, equity, and corporate compliance processes
- Administer commercial agreement intake, approval, execution, storage, and renewal records in Ironclad
- Maintain legal and compliance calendars
- Build templates, checklists, workflows, and systems for recurring legal work
