About the Role
You will lead and support mergers, acquisitions, joint ventures, investments, partnerships, and other strategic transactions from diligence through integration. You will advise on corporate governance and general corporate matters, oversee subsidiary maintenance and compliance, and create transaction processes, templates, and playbooks.
Requirements
- J.D. from an accredited law school
- 6+ years in corporate law or M&A at a top-tier law firm
- Expertise in complex corporate structures and transactions, including diligence, structuring, and negotiation
- Experience representing mature private and public companies
- Admission to the bar in good standing in at least one U.S. state
- Ability to work on-site five days per week
- Ability to work extended hours and weekends as needed
- Eligibility under U.S. ITAR regulations or ability to obtain required authorizations
Responsibilities
- Lead and support strategic transactions from diligence through integration
- Partner with corporate development, finance, and operations on deal execution
- Drive post-closing integration
- Build transaction processes, templates, and playbooks
- Advise on corporate governance and subsidiary board matters
- Oversee subsidiary formations, dissolutions, and compliance
- Provide counsel on general corporate matters
