About the Role
You will provide legal counsel on corporate matters, with a focus on commercial contracts and corporate governance. You will draft, review, and negotiate agreements; advise on entity and transaction matters; support regulatory alignment; improve contracting processes; and help integrate acquired businesses.
Requirements
- J.D. from an accredited law school
- License to practice law in the jurisdiction of residence or practice
- 4+ years of corporate, contracts, or transactional law experience
- Contract drafting and negotiation skills
- Ability to independently manage a high volume of agreements
- Excellent judgment, business acumen, and ability to communicate legal concepts clearly
- Must be a U.S. Person and eligible to obtain required export authorizations
Responsibilities
- Draft, review, and negotiate commercial agreements, including customer and supplier contracts, teaming agreements, NDAs, licensing agreements, and services agreements
- Advise on corporate governance, entity formation, capitalization, internal reorganizations, transactions, financings, and strategic initiatives
- Partner with compliance and export-control teams to align contracts with regulatory requirements
- Develop and maintain contract templates, playbooks, and internal guidance
- Support post-acquisition integration of legal entities, contracts, and compliance obligations
