About the Role

You will support corporate compliance, governance, subsidiary administration, financing matters, and legal records. You will research regulations, draft policies, help deliver compliance training, support audits, prepare corporate materials, and manage legal filings and documentation.

Requirements

• J.D. from an accredited U.S. law school
• 5+ years of relevant corporate law or compliance experience
• Admission to practice law in good standing in at least one U.S. state
• Eligibility for admission to the Massachusetts Bar if not currently admitted
• Written communication and presentation skills
• Organizational and interpersonal skills
• Experience managing competing priorities and tight deadlines
• Authorization to work in the United States

Responsibilities

• Support and improve compliance programs
• Research regulatory standards and draft actionable policies
• Design and deliver compliance training
• Manage documentation and reporting for safety reviews and audits
• Prepare Board and Shareholder materials
• Support financing matters and capital transactions through due diligence and documentation
• Administer employee stock option plans
• Maintain domestic and international corporate records
• Oversee subsidiary registrations, filings, and good-standing certificates
• Support corporate, commercial, research, audit, and compliance-risk matters
