About the Role
You will structure, draft, negotiate, and close non-dilutive financing transactions, including corporate loans, asset-backed financings, and project-finance deals. You will advise on data-center and compute financing, coordinate cross-border counsel, partner with Finance and business stakeholders, and maintain financing templates and guidance.
Requirements
- Bachelor's degree or above in law from an accredited law school in France or another EU country
- At least 7 years of relevant legal experience, including at least 4 years in an international law firm
- Experience structuring and negotiating non-dilutive financing deals
- Familiarity with LMA standard documentation
- Experience in project finance or infrastructure financing
- Experience with cross-border and multi-jurisdictional financing deals
- Written and verbal English and French
- Knowledge of AI technologies, machine learning, natural language processing, and their applications
- Understanding of tax implications of financing and structuring
Responsibilities
- Structure, draft, negotiate, and close non-dilutive financing transaction documentation
- Act as the primary legal contact for banking and financing counterparties
- Advise on financing structures for data-center and compute infrastructure projects
- Coordinate external law firms and multi-jurisdictional transaction teams
- Partner with Finance, M&A, Compute, and Business teams on financing structures
- Provide practical legal guidance while limiting legal risks
- Build and maintain financing-documentation templates, precedents, and guidelines
- Support corporate compliance, insurance, and Sapin II-related matters
