About the Role
You will lead IP diligence and negotiations for acquisitions and investments. You will advise on IP provisions in complex commercial and research agreements, train legal colleagues, create scalable transaction processes, and contribute to IP strategy involving open source, trade secrets, patents, and new business models.
Requirements
- JD and active membership in at least one U.S. state bar
- Substantial experience leading IP due diligence and negotiating IP terms in technology M&A
- First-chair experience negotiating IP provisions in complex commercial technology agreements
- Working knowledge of open source licensing, IP assignment obligations, and trade secret protection
- Ability to communicate IP risks and tradeoffs to business leaders and non-specialist lawyers
Responsibilities
- Lead the IP workstream for acquisitions and strategic investments
- Conduct IP diligence and negotiate IP transaction terms
- Advise on and negotiate IP terms in enterprise, partnership, research, and vendor agreements
- Serve as a primary IP-terms contact for legal colleagues
- Train colleagues to resolve IP questions
- Develop transaction playbooks, templates, and processes
- Contribute to IP strategy involving open source, trade secrets, patents, and new business models
