About the Role
You will structure, draft, negotiate, and close complex corporate, business development, and strategic transactions. You will manage research collaborations, co-development partnerships, data licensing agreements, and transaction due diligence. You will build playbooks, term sheets, and workflows that improve deal execution and legal risk management.
Requirements
- J.D. or equivalent legal qualification
- Significant corporate transactional experience in biotech, pharma, or life sciences technology
- 5 years of experience at a highly rated law firm advising on transactions
- Experience structuring and executing research collaborations, co-development agreements, and data licensing transactions
- Expertise in legal risk mitigation, data governance, and complex corporate structures
- Experience scaling legal operations through playbooks, term sheets, and diligence processes
- Understanding of the drug development lifecycle
- Familiarity with AI tools and legal technology for contract review, drafting, and research
Responsibilities
- Structure, draft, negotiate, and close complex corporate and strategic transactions
- Manage research collaborations, co-development partnerships, and data licensing agreements throughout their lifecycle
- Lead transaction activities from initial outreach through contract closing
- Develop deal playbooks, template term sheets, and due diligence workflows
- Lead legal due diligence and mitigate corporate, data licensing, information security, and technology transfer risks
- Use legal technology to streamline deal execution and reduce reliance on external counsel
- Advise business development, scientific, leadership, legal, and research stakeholders
