About the Role

You will build and support the corporate legal function by advising on corporate governance, securities law compliance, investor and regulatory reporting, and capital markets matters. You will prepare board and stockholder materials, manage corporate records, develop disclosure controls and policies, advise on insider trading compliance, monitor regulatory developments, and provide cross-coverage for equity and debt offerings.

Requirements

  • Juris Doctor from an accredited law school
  • Active membership in good standing in at least one U.S. state bar
  • 4–7 years of corporate and securities experience at a top-tier law firm
  • Expertise in board and stockholder governance, securities disclosure obligations, and insider trading compliance
  • Working knowledge of capital markets transactions, including Rule 144A and private placements
  • Experience advising companies on complex corporate and transactional matters
  • Proficiency with Google Workspace, Microsoft Office, and AI tools such as Claude and Gemini

Responsibilities

  • Prepare materials for the Board of Directors and its committees
  • Manage stockholder consents and notices
  • Support the annual stockholder meeting
  • Advise on corporate governing and investor documents
  • Build and scale corporate policies, controls, and processes
  • Maintain corporate records and internal deal files
  • Develop standardized templates, checklists, and playbooks
  • Lead securities-related disclosures and reporting materials
  • Develop and maintain disclosure controls and communications protocols
  • Advise on insider trading policies and equity transaction reporting
  • Monitor regulatory developments and securities law compliance
  • Support equity and debt securities offerings
  • Assist with disclosure schedules, ancillary documents, and KYC requests
  • Coordinate transaction documents with investors, banks, and initial purchasers
  • Advise Finance, Accounting, Investor Relations, and HR on corporate and securities matters
