About the Role
You will lead and support mergers, acquisitions, joint ventures, investments, partnerships, and other strategic transactions from diligence through integration. You will partner with corporate development, finance, and operations; build transaction processes and playbooks; advise on corporate governance; oversee subsidiary maintenance; and provide counsel on general corporate matters.
Requirements
- J.D. from an accredited law school
- 6+ years in corporate or M&A at a top-tier law firm
- Expertise in complex corporate structures and transactions, including diligence, structuring, and negotiation
- Experience representing mature private and public companies
- Admission in good standing to the bar in at least one US state
- Ability to work extended hours and weekends as needed
- Eligibility under US export regulations or ability to obtain required authorizations
Responsibilities
- Lead and support strategic transactions from diligence through post-closing integration
- Partner with corporate development, finance, and operations to execute transactions
- Drive post-closing integration
- Build transaction processes, templates, and playbooks
- Advise on corporate governance and subsidiary board matters
- Oversee subsidiary formation, dissolution, and compliance for US and international entities
- Provide counsel on general corporate matters
