About the Role

You will own a broad range of corporate legal matters from strategy through execution. You will advise senior stakeholders, lead strategic transactions, support corporate governance and structuring, manage external counsel, and develop practical legal processes, policies, templates, and systems.

Requirements

  • 8+ years of relevant legal experience, including significant experience at a leading law firm or high-growth technology company legal department.
  • Strong foundation in corporate law, corporate governance, and complex corporate transactions.
  • Experience with M&A, joint ventures, strategic investments, corporate restructurings, financings, subsidiary governance, or related corporate matters.
  • Ability to independently lead complex matters, coordinate cross-functional stakeholders, and drive projects through execution.
  • Ability to operate as a corporate generalist and develop expertise in unfamiliar areas.
  • Business judgment and the ability to assess legal and business risk.
  • Executive communication skills.
  • Experience collaborating with finance, tax, accounting, people, operations, and other functions.
  • Interest in blockchain technology and willingness to develop understanding of the business, technology, and ecosystem.
  • J.D. from an accredited law school.
  • Membership in at least one U.S. state bar and eligibility to practice as in-house counsel in California.

Responsibilities

  • Lead and support joint ventures, strategic investments, acquisitions, dispositions, spinouts, restructurings, and other corporate transactions.
  • Advise the General Counsel, executive team, and business leaders on corporate legal matters and strategic initiatives.
  • Work with finance, tax, accounting, and people stakeholders to structure and execute corporate initiatives.
  • Advise on corporate finance, treasury, equity financing, debt financing, and capital-related transactions.
  • Partner on employment, executive compensation, equity and token compensation, and employee-related matters.
  • Support international operations, subsidiary formation, entity governance, and corporate structure.
  • Draft, review, and negotiate transaction documents, corporate agreements, board materials, stockholder materials, policies, and legal documentation.
  • Identify legal and business risks and communicate practical recommendations to senior stakeholders.
  • Manage outside counsel and external advisors.
  • Develop and improve corporate legal processes, policies, templates, and systems.
  • Stay informed on relevant legal, industry, and web3 developments.
  • Take on additional legal and strategic projects as needed.
