About the Role
You will manage corporate governance, including board and shareholder processes, resolutions, bylaws, charters, and corporate records. You will lead financings, maintain the cap table and equity plans, manage US entity filings, run M&A and strategic transactions, and build templates, approval matrices, and data-room processes.
Requirements
- J.D. and admission to a US state bar; New York admission preferred
- 5+ years of corporate legal experience split between a leading law firm and at least 2 years in-house at a startup
- Hands-on experience with venture financings, equity plans, and corporate governance
- Based in New York or willing to relocate
- In-house experience at a fintech preferred
Responsibilities
- Run governance, including board and shareholder meetings, resolutions, consents, bylaws, charters, and corporate records
- Lead financings from term sheet to closing with outside counsel
- Own the cap table, option plan, grants, exercises, 409A coordination, and investor rights
- Manage US entity structure and filings, including the corporate side of licensing and regulatory processes
- Run M&A, strategic investments, and partnerships from diligence to closing
- Build templates, approval matrices, and a clean data room for routine work
