About the Role
You will lead legal workstreams for acquisitions, acquihires, investments, joint ventures, and other strategic transactions. You will manage diligence, negotiate transaction documents, advise on deal structure and risk, coordinate outside counsel, and build repeatable M&A playbooks and templates.
Requirements
- JD from an accredited law school and active membership in at least one U.S. state bar
- Experience drafting and negotiating M&A transaction documents
- Understanding of stock purchases, asset purchases, mergers, acquihires, minority investments, and joint ventures
- Experience with domestic and cross-border transactions
- Experience advising technology companies and startups
Responsibilities
- Lead legal workstreams for M&A and strategic transactions
- Draft, review, and negotiate transaction documents
- Manage due diligence and cross-functional workstreams
- Advise on deal structuring, risk allocation, purchase price mechanics, and indemnification
- Prepare transaction materials for executive leadership and the Board
- Manage outside counsel relationships, budgets, and work quality
- Support post-closing integration
- Develop M&A processes, playbooks, and templates
- Support other corporate matters
