About the Role

You will manage global subsidiary governance and entity-management activities. You will maintain corporate records, support board and committee administration, coordinate governance compliance, and drive standardized governance processes.

Requirements

  • 8–12 years of relevant corporate governance, company secretarial, or entity-management experience.
  • Qualified chartered governance professional or equivalent relevant experience.
  • Knowledge of UK corporate governance and company-law requirements.
  • Experience managing multi-jurisdictional entities and external corporate service providers.
  • Strong organizational skills and attention to detail.
  • Ability to manage multiple deadlines and work with senior stakeholders.

Responsibilities

  • Manage global subsidiary governance and entity-management activities.
  • Maintain corporate records, registers, governance calendars, and entity-management systems.
  • Support board and committee administration.
  • Prepare board, committee, and shareholder materials, resolutions, minutes, and written consents.
  • Maintain delegated-authority frameworks, signing matrices, and governance policies.
  • Coordinate with external counsel, service providers, and stakeholders on governance and compliance requirements.
  • Monitor governance requirements and implement updates.
  • Drive process improvements and standardization across governance practices.
