About the Role
You will execute corporate financing and capital markets transactions from term sheet through closing, advise Finance stakeholders on legal and business risks, and draft and negotiate financing documents. You will manage due diligence and closing logistics, support covenant compliance and entity management, maintain deal files and templates, and communicate complex legal concepts to legal and non-legal stakeholders.
Requirements
- Juris Doctor degree from an accredited law school
- Active bar admission in any state
- 7–10 years of transactional legal experience
- Significant experience in complex corporate and finance transactions
- Expertise in drafting, structuring, and negotiating loan or financing documentation
- Strong business judgment
- Working knowledge of corporate governance and compliance best practices
- Experience managing multiple high-stakes workstreams
- Proficiency with Google Workspace, Microsoft Office, and AI tools
- Participation in a drug and alcohol program is required
Responsibilities
- Execute corporate financing and capital markets transactions from term sheet through closing
- Advise Finance stakeholders on contract terms, legal risks, and transaction matters
- Support corporate development and strategic transactions
- Draft, review, structure, and negotiate financing agreements and ancillary documents
- Support due diligence and manage document flow and closing logistics
- Support ongoing covenant compliance
- Support entity formations and intercompany transactions
- Maintain organized deal files and develop standardized templates
- Present complex legal concepts to legal and non-legal audiences
