About the Role

You will lead Board and stockholder governance work, securities disclosures, reporting controls, insider-trading compliance, and regulatory monitoring. You will support capital-markets transactions, maintain legal records and templates, and provide practical corporate and securities advice to internal stakeholders.

Requirements

Juris Doctor from an accredited law school
Active membership in good standing in a U.S. state bar
4-7 years of corporate and securities experience at a top-tier law firm

Responsibilities

Prepare Board and committee agendas, presentations, minutes, and resolutions
Manage stockholder consents, notices, and vote-threshold analysis
Support annual stockholder meeting planning and execution
Advise on governing and investor documents
Build corporate policies, controls, and processes
Maintain corporate records and internal deal files
Develop securities disclosures and reporting materials
Maintain disclosure controls, information governance, and communications protocols
Advise on insider trading policies and equity transaction reporting
Monitor securities-law developments and compliance
Support equity and debt securities offerings
Advise Finance, Accounting, Investor Relations, and HR on corporate and securities matters
