About the Role

You will lead acquisitions, investments, joint ventures, and other corporate transactions through closing and integration. You will support fundraising and equity programs, advise on securities law, global expansion, governance, and entity matters, and improve the processes and infrastructure used for transactional work.

Requirements

• J.D.
• Active membership in at least one U.S. State Bar
• 6+ years of relevant post qualification legal experience
• Experience at a major law firm or high growth technology company
• Experience drafting and negotiating M&A and investment documents
• Experience with venture or growth stage financings and securities law
• Working knowledge of equity compensation and liquidity events
• Corporate governance and entity experience
• Excellent communication stakeholder management and problem solving skills
• Comfort working in fast paced environments with shifting priorities
• Public company experience preferred

Responsibilities

• Lead acquisitions strategic investments joint ventures and other corporate transactions
• Advise Finance and Operations on deal strategy and execution
• Support fundraising diligence financing documents investor rights and outside counsel coordination
• Partner on equity programs option and RSU grants plan amendments cap table processes and liquidity events
• Support global expansion efforts with Finance Tax and Operations
• Advise on securities law matters
• Support corporate governance entity work and subsidiary formation
• Develop and improve templates playbooks diligence checklists approval workflows and closing infrastructure
• Provide practical legal advice to cross functional teams
