About the Role
You will own the legal workstream across the full lifecycle of private equity funds, from structuring and licensing through distribution, mergers, and liquidation. You will prepare and negotiate agreements, support private equity transactions, coordinate regulatory approvals, advise on Luxembourg vehicles, monitor regulatory developments, and improve legal processes through automation. This hybrid role requires eligibility to live and work in Luxembourg and office attendance four days per week.
Requirements
- Postgraduate degree in business law
- At least 3 years of experience as an investment fund lawyer with strong private equity exposure
- Strong knowledge of AIFMD, CSSF regulations and practices, and relevant EU directives such as MiFID II
- Excellent written and verbal English communication skills
- German is advantageous
- Analytical and structured working approach
- Ability to manage ambiguity, prioritise workloads, and meet deadlines
- Exceptional project management skills
- Ability to collaborate effectively with cross-functional teams
- Eligibility to live and work in Luxembourg
Responsibilities
- Own the legal workstream across the full lifecycle of private equity funds
- Prepare, draft, and revise fund documentation for structuring, setup, licensing, mergers, and liquidation
- Coordinate approval requests with Luxembourg and foreign regulatory authorities
- Partner with Sales to resolve investor queries
- Draft and negotiate agreements according to client needs and local regulations
- Support private equity transactions including co-investments, secondaries, and funds of funds
- Manage corporate resolutions and liaise with auditors on Luxembourg vehicles
- Maintain procedures and regulatory databases
- Track regulatory developments and analyse foreign regulations
- Translate regulatory changes into practical guidance
- Identify opportunities for process optimisation and workflow automation
