About the Role
You will manage financing transactions for founders and venture capital funds from term sheet negotiation through post closing deliverables. You will review and negotiate SAFEs convertible notes and priced round documents while advising on cap tables governance and corporate matters. You will supervise paralegals develop deal playbooks support client pitches and improve AI driven legal workflows.
Requirements
- Strong background in early stage financings
- Experience with SAFEs convertible notes and priced equity rounds
- Ability to independently manage complex deal processes
- Experience supervising paralegals
- License to practice in California or a comparable jurisdiction
- 7 or more years of relevant experience recommended
- Comfort with AI backed legal tools
Responsibilities
- Coordinate term sheet negotiation diligence signing and post closing deliverables
- Review and negotiate venture financing documents
- Advise on cap table governance and corporate matters
- Supervise and mentor paralegals
- Develop deal playbooks and negotiation parameters
- Build relationships with founders venture funds accelerators and outside counsel
- Contribute to new client pitches
- Improve AI driven legal delivery tools and workflows
