About the Role
You will lead sophisticated commercial transactions including partnerships enterprise agreements technology integrations SaaS agreements and vendor arrangements. You will advise stakeholders on deal structure risk allocation and negotiation strategy while coordinating with legal specialists. You will also support investments acquisitions joint ventures governance matters and improvements to contracting processes.
Requirements
- 3–6 years of experience as a commercial or technology transactions attorney
- Meaningful experience at a top-tier law firm and in-house
- Hands-on experience drafting negotiating and managing sophisticated commercial transactions and strategic partnerships
- Excellent communication and relationship-building skills
- Practical business-oriented judgment and problem-solving skills
- Ability to work in the San Francisco office
- Sound judgment professionalism discretion and integrity
- Adaptability initiative intellectual curiosity and resourcefulness
- Exceptional attention to detail and organizational skills
- Ability to manage multiple priorities and novel legal challenges
- Willingness to travel internationally occasionally
Responsibilities
- Draft negotiate and execute sophisticated commercial agreements
- Structure and execute complex commercial arrangements with cross-functional stakeholders
- Advise on transaction structure risk allocation operational considerations and negotiation strategy
- Support deal structures involving emerging technologies blockchain digital identity AI and global operations
- Coordinate with regulatory privacy product IP employment security tax and corporate legal specialists
- Develop templates playbooks fallback positions and scalable contracting processes
- Support investments acquisitions joint ventures and other corporate initiatives
- Assist with board materials subsidiary maintenance consents resolutions and related documentation
- Manage legal operational and structural risks for new business initiatives and partnership models
