About the Role
You will support public-company and Nasdaq listing compliance, SEC reporting, disclosure controls, insider-trading and Regulation FD policies, and corporate governance requirements. You will advise on equity and debt capital markets transactions, project financing, mergers and acquisitions, joint ventures, strategic investments, and corporate reorganizations while coordinating with external counsel and business stakeholders.
Requirements
- Law degree such as LL.B., J.D., or equivalent
- 8+ years of post-qualification legal experience
- Experience across capital markets and corporate finance transactions
- Experience with equity and debt offerings, convertible bonds, project and infrastructure financing, and mergers and acquisitions
- Working knowledge of US securities laws and SEC reporting requirements
- Experience advising Nasdaq-listed or other US-listed issuers preferred
- Admission to the Singapore Bar or another relevant common law jurisdiction preferred
- Commercial judgment
- Legal drafting, analytical, and problem-solving skills
- Written and spoken communication skills
- Stakeholder management and cross-functional collaboration skills
- Ability to manage multiple transactions and deadlines independently
- High ethical standards and professional integrity
Responsibilities
- Support Nasdaq listing compliance obligations and SEC reporting
- Advise on disclosure controls, insider-trading policies, Regulation FD, and corporate governance requirements
- Advise on equity and debt capital markets transactions
- Support project and infrastructure financing transactions
- Lead and support mergers and acquisitions, joint ventures, strategic investments, and corporate reorganizations
- Conduct due diligence and negotiate transaction documentation
- Provide legal advice on securities laws, capital markets regulation, and cross-border transaction structuring
- Coordinate and manage external counsel and advisers
