About the Role
This role advises Finance and Corporate Development stakeholders on complex corporate finance, debt financing, capital markets, and strategic transactions. The position drafts and negotiates financing documents, manages diligence and closing logistics, supports covenant compliance and entity matters, and communicates legal concepts across internal and external teams.
Requirements
- Juris Doctor from an accredited law school.
- Active bar admission in any state.
- 7-10 years of transactional legal experience.
- Significant experience in complex corporate and finance transactions.
- Expertise drafting, structuring, and negotiating loan or other financing documentation.
- Strong business judgment.
- Knowledge of corporate governance and compliance best practices.
- Experience managing multiple high-stakes workstreams.
- Proficiency with Google Workspace, Microsoft Office, and AI tools.
- Participation in a drug and alcohol program.
Responsibilities
- Execute corporate financing and capital markets transactions from term sheet through closing.
- Support corporate development and strategic transactions.
- Advise Finance stakeholders on contract terms, legal risks, and business risks.
- Draft, review, structure, and negotiate term sheets and definitive agreements.
- Support due diligence, document flow, and closing logistics.
- Support ongoing covenant compliance.
- Support entity formations and intercompany transactions.
- Maintain deal files and develop standardized templates.
- Present complex legal concepts to legal and non-legal audiences.
- Coordinate outside counsel and internal teams.
