About M^ZERO
M^ZERO is the organization behind the M0 Protocol, a universal stablecoin platform providing infrastructure for developers and businesses to create safe, programmable, and interoperable stablecoins. The protocol operates on an open, federated issuer model where qualified entities can hold reserves and mint the native stablecoin, $M, a digital dollar building block. All stablecoins built on M0 are natively swappable, sharing a single liquidity layer and offering access to deep on-chain liquidity. The platform is multichain, utilizing M-Portals built on protocols like Wormhole and Hyperlane to bridge assets and data between Ethereum (the hub) and other blockchains (spokes). Governance is managed through a Two-Token Governance (TTG) system using POWER for operational proposals and ZERO for meta-governance, ensuring a balanced and decentralized approach. The protocol, which has undergone extensive security audits, also offers a Wrapped M (wM) token to provide a non-rebasing, yield-earning version of $M for enhanced DeFi compatibility.

About the Role
You will be a senior member of M0's legal team, reporting to the Deputy COO, with primary responsibility for commercial contracting, corporate governance execution, fundraising, day-to-day legal support, and other ad hoc strategic projects. You will play a critical role in hiring and developing a team as M0 scales, doing substantive legal work alongside an experienced executive team with significant exposure to many of M0's most critical and sophisticated workstreams.
Requirements
- J.D. from an accredited, top-tier law school
- Member in good standing of a U.S. state bar (preferably NY)
- 7+ years of relevant legal experience, including foundational training at a top-tier law firm in a corporate or transactional practice
- In-house experience at a high-growth technology company, preferably in fintech or Web3, is strongly preferred
- A strong track record of independently leading complex commercial and corporate transactions, especially in tech, payments and finance
Responsibilities
- Serve as the in-house point of contact across commercial, corporate, and operational legal matters, working closely with senior decision makers
- Act as the legal lead on M&A, investments, joint ventures, and other strategic corporate initiatives, structuring and executing deals from diligence to closing
- Draft and negotiate highly-tailored agreements with strategic partners and sophisticated counterparties in institutional finance, digital assets, and technology sectors
- Provide practical advice on IP, data protection, and regulatory matters implicated in agreements
- Oversee corporate structuring and ongoing legal functions, including managing corporate records, governance materials, and filings for entities globally
- Collaborate with colleagues in finance, operations, product, and business development to solve problems and drive alignment on transactional efforts and equity and token administration matters
