About the Role
You will navigate the intersection of traditional corporate law and the evolving landscape of digital assets and fintech. You will handle high stakes M&A and fundraising and manage crypto specific commercial contracts.
Requirements
- J.D. from an accredited US law school and active bar membership in at least one US jurisdiction
- Minimum of 5 years of experience in a high-growth in-house environment
- Proven track record in fintech, payments, or crypto/web3 space is highly preferred
- Ability to explain legal concepts to non-lawyers with clarity and brevity
- Comfortable with ambiguity and able to pivot quickly in a fast-paced global regulatory environment
Responsibilities
- Draft, negotiate, and manage complex commercial agreements including crypto and payment related contracts
- Lead legal review for crypto and payment related contracts, including liquidity provider agreements, custody arrangements, and payment processing terms
- Oversee corporate governance for US and global entities, ensuring compliance with local statutory requirements
- Manage board secretarial duties, including drafting resolutions, maintaining minute books, and managing entity formations and dissolutions
- Stay abreast of evolving regulatory requirements in multiple jurisdictions
- Provide end-to-end legal support for fundraising rounds and M&A, including due diligence management, data room oversight, and definitive agreement negotiation
- Manage relationships with outside counsel to ensure cost-effective, high-quality deliverables
- Serve as a trusted advisor to internal stakeholders on day-to-day legal issues and proactively identify legal risks with scalable mitigation strategies
- Support the development and refinement of internal legal templates and playbooks
- Support MTL applications
