About the Role
You will join Carta's Law team within the Contracts - Americas function, managing the full lifecycle of commercial contracts for clients from first review through to execution. You will act as the direct day-to-day contact for sophisticated investment fund and asset manager clients, negotiating high volumes of pre-M&A contracts at speed while working alongside fellow lawyers and paralegals, supported by AI-backed tools including Carta's proprietary platform, Ava.
Requirements
- 4+ years of post law school corporate or transactional experience
- Track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
- Experience working with asset managers, investment banks, or other financial services firms
- Law Degree and licensed to practice law in the Americas (US/Canada)
- Comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ)
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters, directly liaising with counterparties and adhering to agreed turnaround times
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
