About the Role
You will prepare, review, edit, and manage legal documents such as NDAs, vendor agreements, and partnership agreements. You will organize and maintain corporate records, manage regulatory and licensing filings across jurisdictions, and assemble diligence materials and secure data rooms. You will track contract lifecycles in CLM software, build legal knowledge repositories, triage internal legal requests, and identify and implement process improvements. You will also prepare audit and regulatory response materials, manage licensing registration and renewal workflows, and coordinate with internal and external stakeholders to ensure compliance and smooth operations.
Requirements
- Minimum 4 years experience as a corporate or commercial paralegal in an AmLaw 200 law firm or mature in house legal department
- Ability to take full ownership of complex projects make independent decisions and manage ambiguity
- Exceptional organization attention to detail strong judgment and prioritization skills
- Proven ability to handle confidential information with discretion
- Effective communication with internal and external stakeholders including senior executives and legal professionals
- Creative problem solving and a solutions first mindset
- Comfort navigating a rapidly changing environment with multiple priorities
- Proficiency with GSuite or Office365 Adobe Acrobat Pro DocuSign data rooms and contract management software such as SpotDraft or Ironclad
- Based in New York City or willingness to travel to the NYC headquarters up to 25% of the time
- Desirable experience in fintech blockchain startup or financial services environments
- Desirable background in state licensing corporate formation and financial onboarding
- Desirable exposure to startup legal operations and cross functional collaboration
- Desirable active New York Notary Public commission
Responsibilities
- Prepare review edit proofread and manage legal documents including NDAs vendor agreements and partnership agreements
- Organize and maintain corporate records and ensure compliance with regulatory and corporate governance requirements
- Manage corporate and financial licensing and regulatory filing processes across domestic and international jurisdictions
- Gather and organize documents for transaction and partnership diligence
- Set up organize and maintain secure data rooms for diligence projects
- Assist with updates and coordination of employee facing legal materials such as employee handbook
- Prepare signature packets create and manage timelines and project checklists and coordinate legalization processes for regulatory filings
- Issue spot bottlenecks in legal workflows recommend solutions and implement scalable processes for CLM corporate records and matter tracking
- Support contract lifecycle oversight by tracking renewals expirations obligations and milestones and managing reporting through CLM software
- Build and maintain internal legal knowledge repositories including contract playbooks clause libraries and FAQs
- Triage and manage legal requests from internal teams via intake forms Slack bots or ticketing systems
- Manage vendor performance for the legal team
- Gather documentation and prepare response materials for audits and regulatory filings
- Manage domestic and international lending and money transmitter licensing registration and renewal workflows
- Support the compliance team with rollout of compliance policies as needed
