About the Role
You will own the legal structuring, drafting, and negotiation of data center, land, power, leasing, development, financing, and joint-venture transactions. You will negotiate power and construction agreements, support project finance and incentives, align legal risk with technical and commercial priorities, and oversee outside counsel.
Requirements
- 6+ years of legal experience managing complex commercial transactions
- Infrastructure transaction experience involving large-scale deals
- Knowledge of data centers, wholesale electricity markets, utility interconnections, and AI hardware
- Commercial judgment in high-stakes and ambiguous situations
- Ability to communicate technical engineering needs and legal protections
- JD from an accredited law school
- Active bar membership in at least one U.S. state
Responsibilities
- Lead negotiations and documentation for development deals, site leases, real estate acquisitions, joint ventures, and project financing
- Structure and manage power purchase, utility interconnection, generation, and storage agreements
- Draft, review, and negotiate construction, engineering services, and design-build contracts
- Support project finance, tax incentives, and lease arrangements
- Align legal risk frameworks with engineering, security, business development, and financial models
- Manage outside counsel on regulatory and regional matters
