About the Role

You will provide independent oversight and advice on strategy, performance, risk management, regulatory compliance, and corporate governance. You will review board materials, attend and participate in board and committee meetings, execute required UAE and VARA declarations, and maintain strict confidentiality and compliance standards.

Requirements

• Be a legal resident of the UAE, preferably Dubai.
• Have prior experience in similar roles.
• Understand UAE financial regulations, local corporate laws, and VARA's regulatory framework for Virtual Asset Service Providers.
• Disclose conflicts of interest.
• Meet VARA Fit and Proper requirements.
• Comply with data protection, corporate confidentiality, anti-corruption, and anti-bribery procedures.

Responsibilities

• Provide independent and objective judgment on strategy, performance, risk management, regulatory compliance, and corporate governance.
• Review board materials and attend board, committee, and general meetings.
• Participate actively in discussions and decision-making processes.
• Act only in a non-executive capacity and avoid unauthorized commitments on behalf of the company.
• Execute corporate and regulatory declarations required under UAE law and VARA frameworks.
• Prepare for and attend scheduled board meetings and ad hoc regulatory discussions.
