About the Role
You will own the legal accuracy of SEC reporting and public-company disclosure. You will draft and review filing content, coordinate reporting inputs across functions, support SOX compliance, monitor regulatory developments, advise on securities-law matters, and support equity and debt capital-markets transactions.
Requirements
- JD or equivalent and a US license to practice law.
- Minimum 5 years of experience as a US securities lawyer.
- Experience in US securities law at a public company or law firm.
- Knowledge of SEC reporting requirements, including 10-K, 10-Q, 8-K, proxy statements, risk factors, and financial-statement disclosure.
- Experience advising on Securities Act and Exchange Act matters.
- Experience with a SOX compliance framework.
- Based in the US.
Responsibilities
- Own the legal accuracy and quality of SEC reporting.
- Draft and review risk factors, financial statement disclosures, and filing content.
- Provide legal review and sign-off on public filings.
- Coordinate reporting inputs with Finance, Investor Relations, Communications, and Rewards and Benefits.
- Support SOX compliance controls and reporting requirements.
- Monitor filing calendars and regulatory developments.
- Advise on securities law, disclosure practices, and regulatory developments.
- Support equity and debt capital-markets transactions.
