About the Role
You'll be the second in command for LemFi's Legal Department, reporting directly to the Chief Legal Officer. This high-impact leadership role combines strategic advisory work with hands-on execution across financing, M&A, corporate transactions, product launches, employment structures, and global compliance.
Requirements
- 10+ years in a top-tier international law firm or in-house legal function focused on banking, finance, or corporate transactions.
- Experience advising on debt financings, credit facilities, security packages, M&A, or venture-backed equity.
- Strong understanding of capital structures, investor documentation, and multi-jurisdictional corporate governance.
- Ability to balance legal risk with commercial considerations.
- Excellent drafting, negotiation, and stakeholder management skills.
- Confidence advising leadership teams directly.
- Law degree from a reputable university and qualification to practise in the UK or Europe.
- Familiarity with fintech or payments regulation is beneficial.
- In-house experience at a high-growth financial services or technology company is beneficial.
- Cross-border expansion or multi-market regulatory experience is beneficial.
Responsibilities
- Own legal structuring, negotiation, and execution of complex credit and debt financing arrangements.
- Partner with Finance to secure and manage capital supporting credit products and growth.
- Lead legal support for M&A, fundraising, and other high-value corporate matters.
- Manage due diligence, deal structuring, and external counsel coordination.
- Oversee Employee Stock Option Plan administration, including grants, vestings, and exercises.
- Advise on global employment structures, cross-border arrangements, and incentive schemes.
- Serve as legal architect for new and evolving products and collaborate with Product and Engineering on compliance and documentation.
- Partner with the CLO on corporate governance, capital markets, and strategic legal projects.
- Lead and mentor the legal team and guide external counsel use.
- Manage regulatory compliance as LemFi expands across Europe and global markets.
