About the Role

You will negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters. You will liaise directly with counterparties, advise sophisticated investment fund and asset manager clients, maintain client playbooks, review junior colleagues’ work, mentor lawyers and paralegals, and improve legal technology workflows using AI-backed tools and HighQ.

Requirements

  • 6-8+ years of post-law-school corporate or transactional law experience
  • Experience independently negotiating pre-M&A contracts
  • Experience working with asset managers, investment banks, or other financial services firms
  • Law degree
  • License to practice law in the Americas, including the US or Canada
  • Comfort working with legal technology such as AI tools and HighQ
  • Strong client communication and relationship-building skills
  • Ability to work independently in a fast-paced environment

Responsibilities

  • Negotiate and manage high volumes of pre-M&A contracts

  • Serve as the primary day-to-day contact for investment fund and asset manager clients
  • Build trusted advisor relationships with clients
  • Maintain and update client playbooks
  • Review the work of junior lawyers and paralegals
  • Mentor junior lawyers and paralegals
  • Identify improvements for AI-backed legal technology tools
