About the Role
You will serve as the primary legal advisor for a portfolio of corporate clients, providing strategic and operational legal support on both day-to-day matters and long-term planning. You will advise on company formation, legal structuring, and corporate governance frameworks, assisting in setting up legal entities and advising on local and cross-border structuring. You will support clients through all stages of M&A transactions and corporate projects, conducting legal due diligence, drafting and negotiating letters of intent, MoUs, protocols, and term sheets, structuring partnership and shareholders' agreements and investment contracts, and advising on fundraising rounds, exits, and corporate reorganizations. You will draft, review, and negotiate a wide range of commercial and corporate agreements, ensuring they are legally sound and aligned with business goals. You will also conduct thorough legal research on corporate, financial, and tax law topics, drafting high-quality legal memoranda, regulatory analyses, and advisory opinions.
Requirements
- Minimum 5 years of experience in Corporate/M&A law, preferably in a reputable law firm
- Deep expertise in corporate law, with working knowledge of tax, financial, and banking law
- Demonstrated experience handling M&A transactions from due diligence to post-closing
- Excellent drafting skills in complex legal documents in both Arabic and French/English
- Strong analytical skills, ability to summarize legal issues and offer actionable advice
- Capacity to manage multiple projects and client demands simultaneously
- Full proficiency in Arabic, French, and English – written and spoken
- Law degree from a recognized institution; LLM or international training is an advantage
Responsibilities

- Ensure contracts are legally sound and aligned with business goals
- Conduct legal research on corporate, financial, and tax law topics
- Draft legal memoranda, regulatory analyses, and advisory opinions
