About the Role

You will lead core SEC reporting and disclosure work, including 10-K, 10-Q, 8-K, proxy, and shareholder-meeting materials. You will support the Board and its committees, prepare materials and minutes, maintain corporate records, and oversee governance formalities. You will administer insider-trading compliance and Rule 10b5-1 plans, support equity-program matters, advise on corporate transactions and Delaware governance issues, coordinate outside counsel, and turn complex securities-law requirements into practical guidance for stakeholders.

Requirements

  • J.D. degree and active membership in good standing in at least one United States state bar
  • 10–15 years of legal experience focused on public company securities, SEC disclosure, and corporate governance
  • Hands-on experience drafting SEC filings, including proxy statements, 10-Ks, 10-Qs, and 8-Ks
  • Experience supporting a public company board of directors and its committees
  • Knowledge of insider trading rules, Section 16 compliance, and equity compensation disclosure
  • In-house experience at a public company in a corporate or securities function
  • Ability to operate independently and manage multiple time-sensitive workstreams
  • Excellent written communication and legal drafting skills

Responsibilities

  • Lead quarterly and annual SEC reporting, including 10-K, 10-Q, and 8-K filings
  • Draft and coordinate proxy statements and shareholder-meeting materials
  • Oversee Section 16 reporting obligations, including Forms 4 and 144
  • Support Disclosure Committee reviews and certification processes
  • Monitor SEC rulemaking, NYSE standards, and proxy-advisory guidance
  • Support the Board of Directors and its committees
  • Prepare board and committee materials, minutes, and action items
  • Manage board records, DocuSign execution, and board portal materials
  • Administer the Insider Trading Policy, trading windows, pre-clearance, and blackout periods
  • Oversee Rule 10b5-1 plan adoptions, modifications, and terminations
  • Support equity-plan administration and related disclosures
  • Provide legal support for equity offerings, reverse stock splits, and capital-markets matters
  • Advise on Delaware corporate governance, indemnification agreements, and subsidiary governance
  • Manage outside counsel relationships and costs
  • Improve Corporate Legal processes, governance calendaring, and compliance workflows
