About the Role
You will support asset management across the formation, launch, and ongoing management of private funds and the investments those funds deploy. The role includes drafting and executing fund formation documents, coordinating legal diligence and investment execution, advising on fund management matters, supporting compliance, working on private venture investments and crypto-related regulatory matters, and adopting AI tools to improve legal productivity and decision-making.
Requirements
- 3-7 years of relevant experience at a large law firm or in-house in funds formation or asset management counsel.
- Knowledge of legal issues affecting asset managers and Registered Investment Advisers, including the Investment Advisers Act of 1940 and SEC rules.
- Experience with onshore and offshore fund structuring, conflicts management, and allocation of investment opportunities across private funds, ETFs, and 40 Act funds.
- Ability to manage transactions involving multiple parties, financial structures, and unique terms.
- Interest in digital asset issues is required; prior experience or knowledge is a plus.
- Highly motivated self-starter with initiative.
- Positive attitude and willingness to handle varied responsibilities.
- Collaborative professionalism and strong business judgment.
- Excellent written and oral communication skills.
- Active membership in the New York State Bar.
Responsibilities
- Draft, review, and execute fund formation documentation, including entity formation, governance documentation, subscription documentation, and bespoke side letters.
- Coordinate with external counsel and internal teams on legal diligence, negotiation, and execution of new investment opportunities.
- Advise internal stakeholders on limited partner outreach, LPAC management, fund disclosures, offering documentation, and fund liquidations.
- Assist the compliance function with legal matters relating to the formation and maintenance of funds and products.
- Work with venture counsel on private venture investment diligence, negotiation, execution, regulatory review, and crypto-related asset management matters.
- Champion thoughtful adoption of AI to improve team performance and business outcomes.
- Use AI tools to improve productivity, decision-making, and output quality.
