About the Role
You will lead high‑stakes corporate transactions and manage the legal aspects of global entity structures. You will drive acquisitions from diligence to integration, support fundraising and debt financing, draft and negotiate commercial and payment‑related agreements, advise on governance and fiduciary duties, and handle day‑to‑day legal matters including employment, IP and data privacy.
Requirements
- Qualified Solicitor in England and Wales or equivalent Common Law jurisdiction
- Minimum 8 years PQE in sophisticated in‑house legal roles
- Proven track record leading M&A transactions with minimal external supervision
- Substantial experience in Payments or Crypto including e‑money regulation and digital asset frameworks
- Strong drafting ability for complex and non‑standard contracts
Responsibilities
- Lead acquisitions from due diligence through SPA drafting and post‑closing integration
- Support fundraising activities including Series rounds and debt financing
- Provide legal architecture for joint ventures, divestitures, and corporate reorganizations
- Draft, negotiate, and review commercial agreements including payment services, SaaS, and liquidity provider agreements
- Ensure contracts mitigate legal and regulatory risk while enabling business objectives
- Oversee entity management and corporate governance for international entities
- Advise stakeholders on risk, fiduciary duty, and corporate strategy
- Handle day‑to‑day legal advisory matters including employment, intellectual property, and data privacy
