About the Role
Execute corporate financing, capital markets, and strategic transactions from term sheet through closing; draft, structure, and negotiate financing agreements; advise on legal and business risks; support due diligence, closing logistics, covenant compliance, entity formations, and intercompany transactions.
Requirements
- Juris Doctor from an accredited law school.
- Active bar admission in any state.
- 7-10 years of transactional legal experience.
- Significant experience in complex corporate and finance transactions.
- Expertise in drafting, structuring, and negotiating loan or other financing documentation.
- Strong business judgment.
- Knowledge of corporate governance and compliance best practices.
- Experience managing multiple high-stakes workstreams.
- Proficiency with Google Workspace, Microsoft Office, and AI tools.
Responsibilities
- Execute corporate financing, capital markets, and strategic transactions.
- Advise Finance stakeholders on contract terms, legal risks, and business risks.
- Draft, review, structure, and negotiate term sheets and definitive agreements.
- Support due diligence and manage document flow and closing logistics.
- Support ongoing covenant compliance.
- Support entity formations and intercompany transactions.
- Maintain organized internal deal files.
- Develop standardized templates.
- Present complex legal concepts clearly to legal and non-legal audiences.
- Coordinate outside counsel and internal teams.
