About the Role
You will draft and negotiate commercial and transaction documents, structure partnerships and strategic arrangements, and advise on contract risk. You will support acquisitions and due diligence from evaluation through completion, coordinate counsel, and improve contracting templates, processes, and legal playbooks.
Requirements
- 4+ years as a practising lawyer with corporate and commercial law experience
- Experience handling complex transactions
- Experience in fintech, crypto, or digital assets
- Experience drafting and negotiating complex commercial agreements
- Experience advising on acquisitions and corporate transactions
- Knowledge of digital asset regulatory frameworks, securities law, and token classification
- Familiarity with DeFi protocols and on-chain or DAO governance structures
- Experience conducting legal due diligence and negotiating transaction documentation
- Experience structuring token consideration
- Experience in a leading law firm or in-house technology or financial-services legal team
- Commercial judgement and legal risk analysis
- Ability to manage multiple workstreams autonomously
- Communication and interpersonal skills
- Experience across multiple jurisdictions and coordinating external counsel
Responsibilities
- Draft, review, and negotiate commercial agreements
- Structure commercial arrangements and provide practical legal solutions
- Support strategic partnerships with financial institutions, fintechs, infrastructure providers, and digital-asset participants
- Provide legal support for partner integrations and strategic initiatives
- Advise on contract interpretation, rights, obligations, and commercial risk
- Support acquisitions, asset purchases, acqui-hires, and strategic transactions
- Conduct and coordinate legal due diligence
- Draft, review, and negotiate transaction documentation
- Work with senior stakeholders and external counsel on transaction structuring and execution
- Advise on corporate, commercial, and intellectual property considerations
- Support post-transaction contract, intellectual-property, and asset integration
- Improve commercial templates, contracting processes, and legal playbooks
