About the Role
You advise on public filings, disclosure matters, equity structures, and corporate law initiatives. You manage insider trading and conflict-of-interest procedures, support disclosure committees, consult with regulators, and monitor Dutch and European corporate legal developments.
Requirements
- Minimum 4+ years of corporate legal experience
- Attorney qualification
- Strong knowledge of the Market Abuse Regulation and related Dutch and European regulations
- Familiarity with equity compensation structures
- Experience interfacing with the AFM, supervisory boards, and management boards
- Excellent analytical, communication, and interpersonal skills
- Ability to prioritize in a high-volume, fast-paced, complex environment
Responsibilities
- Review and advise on public filings and disclosure documentation
- Provide legal support and internal training on corporate law matters
- Manage insider trading and conflict-of-interest inquiries, procedures, and policies
- Ensure compliance with the Market Abuse Regulation
- Support the disclosure committee
- Partner with Investor Relations and Communications on disclosure matters
- Advise on equity structures and incentive plans
- Consult with regulators and financial authorities
- Monitor Dutch and European corporate legal developments
