About the Role
You will lead the legal execution of complex corporate transactions, including mergers, acquisitions, joint ventures, strategic partnerships, and project financings. You will structure, negotiate, document, and close transactions, coordinate financing and diligence, manage outside counsel and advisors, and advise senior leadership on transaction strategy and risk.
Requirements
- Significant experience leading complex M&A transactions, joint ventures, strategic investments, and other high-value corporate transactions
- Experience supporting sophisticated financing transactions including acquisition financings, structured debt arrangements, and project financings
- Ability to navigate complex commercial, regulatory, and structural issues and develop practical business-oriented solutions
- Experience working cross-functionally with legal, finance, tax, treasury, development, and executive teams
- Ability to operate independently, manage multiple high-priority matters, and exercise sound judgment in fast-paced environments
Responsibilities
- Lead legal support for mergers, acquisitions, divestitures, joint ventures, strategic partnerships, minority investments, and other strategic transactions
- Oversee all phases of transaction execution, including structuring, diligence, negotiation, documentation, financing coordination, closing, and integration
- Support transaction-related financing activities, including acquisition financings, project financings, and debt facilities
- Partner with Finance, Treasury, Tax, Development, Investor Relations, and other business teams to support strategic initiatives
- Draft and negotiate complex commercial and transaction-related agreements
- Manage outside counsel and specialized advisors to deliver cost-effective legal support
- Advise senior leadership on transaction strategy, risk assessment, and execution considerations
