About the Role
You will lead the legal structuring and operation of US-domiciled private equity feeder funds, primarily Delaware limited partnerships. You will draft and negotiate fund documents and complex agreements, conduct due diligence, advise on product launches and investment opportunities, manage external counsel, and provide practical guidance on regulatory requirements. You will also oversee SEC and FINRA matters and ensure filings are accurate and timely.
Requirements
- Hold a current license to practice law in a US state, preferably New York.
- Have 8–12 years of experience in private equity, venture capital, or asset management legal roles.
- Understand US regulations relating to broker-dealers, RIAs, and private placements under Regulation D.
- Have hands-on experience drafting legal documents and managing regulatory filings.
- Demonstrate strong analytical and organizational ability.
- Communicate complex legal and regulatory requirements clearly to non-lawyers.
- Work autonomously and organize priorities effectively.
Responsibilities
- Lead the legal creation and maintenance of US feeder funds.
- Draft and revise Limited Partnership Agreements, Private Placement Memorandums, and subscription documents.
- Draft and negotiate complex agreements.
- Lead due diligence of fund managers, service providers, and institutional partners.
- Advise on new product launches, co-investments, and secondary market opportunities.
- Liaise with external US counsel.
- Partner with Sales and Operations teams on legal and compliance frameworks.
- Act as the primary liaison for SEC and FINRA matters.
- Manage Form ADV, Form D, and Blue Sky filings.
- Translate complex legal and regulatory requirements into actionable business advice.
