About the Role

You will draft negotiate and manage complex commercial agreements You will lead legal review for crypto and payment related contracts including liquidity provider agreements custody arrangements and payment processing terms You will oversee corporate governance for US and global entities and stay on top of evolving regulatory requirements in multiple jurisdictions You will support fundraising rounds and mergers and acquisitions You will provide day to day legal guidance to internal stakeholders on product finance HR and operations You will proactively identify legal risks and implement scalable mitigation strategies You will help develop and refine internal legal templates and playbooks

Requirements

• J D from an accredited US law school and active bar membership in at least one US jurisdiction
• Minimum of 5 years of experience in a high growth in house environment
• Domain expertise in fintech payments or the crypto web3 space is highly preferred
• Ability to explain legalese to non lawyers with clarity wit and brevity
• Adaptability comfortable with ambiguity and able to pivot quickly in a fast paced global regulatory environment

Responsibilities

• Draft negotiate and manage complex commercial agreements
• Lead legal review for crypto and payment related contracts including liquidity provider agreements custody arrangements and payment processing terms
• Oversee corporate governance for US and global entities
• Manage board secretarial duties including drafting resolutions maintaining minute books and managing entity formations dissolutions
• Stay abreast of evolving regulatory requirements in multiple jurisdictions
• Provide end to end legal support for fundraising rounds
• Execute mergers and acquisitions including due diligence management data room oversight and definitive agreement negotiation
• Manage relationships with outside counsel to ensure cost effective and high quality deliverables
• Serve as trusted advisor to internal stakeholders on day to day legal issues
• Proactively identify legal risks and implement scalable mitigation strategies
• Support development and refinement of internal legal templates and playbooks
