About the Role
You will own the legal function end-to-end. You will draft, negotiate, and manage commercial contracts; develop and maintain contract playbooks and a searchable knowledge base; implement AI-augmented workflows for contract review, document assembly, and obligation management; manage corporate governance and equity transactions; support financings and mergers and acquisitions; monitor regulatory and sanctions developments and implement OFAC/SDN screening; advise on data privacy and export control; and manage litigation, discovery, and outside counsel oversight.
Requirements
- Admitted to at least one U.S. state bar and authorized to practice law at time of hire
- At least one year of experience in the legal industry
Responsibilities
- Structure, draft, review, negotiate, and manage the full lifecycle of commercial agreements
- Use AI-powered first-pass review to triage incoming counterparty paper and identify risk areas
- Build and maintain a contract playbook codifying preferred positions on key clauses
- Manage vendor and counterparty relationships through the contracting process
- Manage corporate governance matters including board resolutions, shareholder consents, meeting minutes, and subsidiary maintenance
- Oversee equity transactions including stock transfers, option grants, and cap table management
- Build and maintain an AI-queryable corporate knowledge base
- Support financing and M&A activity including due diligence preparation and transaction document review
- Design and implement AI-powered workflows for contract review, document assembly, signature tracking, compliance screening, and obligation management
- Use Claude and other AI tools to automate contract analysis and populate agreement templates
- Build and refine prompts, playbooks, and reference materials to improve AI output quality
- Establish a centralized document management system and enforce adoption
- Monitor and advise on regulatory developments affecting Bitcoin mining, digital assets, GPU/compute infrastructure, and energy markets
- Implement and manage OFAC/SDN compliance screening for counterparties
- Advise on data privacy, export control, and sanctions compliance
- Manage active and potential litigation matters and oversee outside counsel
- Develop and maintain litigation hold processes and templates
- Assess dispute risk in commercial relationships and advise on resolution strategies
