About the Role

You will serve as Government Contracts and Commercial Senior Counsel, reporting to the General Counsel and leading the end-to-end government contracting process. You will advise on federal contract proposal and contract terms and conditions, lead negotiations, and oversee contract administration. You will establish and maintain a robust government contracts compliance program, drafting and implementing business-centric policies and procedures while ensuring adherence to legal requirements, regulatory obligations, and customer contract provisions. You will also support broader legal work, reviewing and negotiating commercial agreements such as software license agreements, vendor agreements, and NDAs. As part of a small, well-supported team, you will have a high level of ownership, autonomy, and impact, and you'll need to prioritize, problem-solve, stay focused, move quickly, self-direct, and continuously learn in a fast-paced environment.

Requirements

  • JD from an accredited law school with active bar membership
  • 8+ years of experience in government contracts law, preferably in aerospace, defense, or hardware technology sectors
  • Deep knowledge of federal procurement processes, regulations, compliance requirements, and contracting procedures across program and contract types (e.g., grants, OTAs, SBIR/STTR, FAR/DFARS)
  • Experience building and managing practical and executable compliance programs and processes
  • Proven ability to provide practical, business-oriented legal advice in a fast-paced environment
  • Ability to build consensus among cross-functional teams to fulfill legal and business mandates
  • Experience negotiating a broad range of commercial agreements, including software licensing agreements, vendor agreements, NDAs, and other commercial contracts
  • Experience with NASA, DoD, or other aerospace-related agency contracts highly desirable
  • Sound judgment in assessing and balancing legal and business risks
  • Familiarity and/or comfort understanding technically complex systems
  • Excellent communication skills, with the ability to convey complex contractual information clearly to various stakeholder types
  • Demonstrated history of ownership and accountability

Responsibilities

  • Lead all aspects of US Government contract negotiations, contract administration, and customer contract activities
  • Ensure fulfillment of contract requirements and manage contract changes
  • Communicate contract requirements, government compliance, and deliverables to business stakeholders
  • Review and advise on US Government Terms & Conditions, including OTAs, FAR, DFARS, cybersecurity, and data privacy regulations
  • Build, implement, and manage a compliance program for FAR, DFARS, OTAs, cybersecurity, and data security requirements
  • Provide guidance on government contract interpretation, regulatory requirements, and risk mitigation strategies
  • Support proposal preparation, review, and compliance for government solicitations
  • Manage relationships with government contracting officers and procurement officials
  • Support broader legal function including commercial contracts, vendor agreements, and general operational matters
