About the Role

You will serve as the primary legal advisor to the credit businesses, providing strategic guidance on digital asset lending, margin, borrowing, and other credit-related activities. You will advise on structuring, negotiating, and documenting loans and credit arrangements, draft and negotiate master loan agreements and collateral documents, and partner with Product and Business Development teams to launch new credit products. You will analyze U.S. and international regulatory frameworks, monitor regulatory developments, and collaborate with Compliance on policies and controls. You will identify and mitigate legal risks, manage disputes and enforcement actions, oversee workouts and restructurings, and work closely with Markets, Operations, Risk, and Technology teams while educating business partners on legal and regulatory issues.

Requirements

  • J.D. from an accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • 4-7 years of relevant legal experience advising on credit, lending, or structured finance matters for financial institutions, fintechs, or digital asset firms
  • Deep understanding of secured lending, margin, and collateral management practices
  • Familiarity with UCC Article 9, bankruptcy/insolvency regimes, and digital asset custody considerations
  • Experience drafting and negotiating complex credit and collateral documentation
  • Strong knowledge of the regulatory landscape for digital assets and/or traditional credit products
  • Excellent analytical, communication, and project management skills
  • Prior experience in fintech, crypto, or digital asset environments preferred

Responsibilities

  • Advise on the structuring, negotiation, and documentation of digital asset loans, margin facilities, borrowing structures, and other credit arrangements
  • Draft, review, and negotiate master loan agreements, collateral agreements, security documents, and related transactional documentation
  • Partner with Product and Business Development teams to design and launch new credit products and structures
  • Analyze and advise on U.S. and international legal and regulatory frameworks applicable to digital asset lending
  • Monitor regulatory developments impacting digital asset credit markets and communicate implications to internal stakeholders
  • Collaborate with Compliance to develop and maintain policies, procedures, and controls for credit operations
  • Identify, assess, and mitigate legal risks associated with credit extension, collateral management, counterparty default, and insolvency scenarios
  • Support the development and implementation of risk management frameworks for credit exposures
  • Manage and resolve disputes, litigation, or enforcement actions arising from credit transactions or counterparties
  • Oversee workout, restructuring, and recovery efforts in distressed situations
  • Work closely with Markets, Operations, Risk, and Technology teams to ensure seamless execution and settlement of credit transactions
  • Educate business partners on legal and regulatory issues affecting the credit business
