About the Role
You'll join Carta's Contracts - Americas team within Carta Law, handling the full lifecycle of commercial contracts for clients from first review through execution. You'll act as the direct day-to-day contact for sophisticated investment fund and asset manager clients, negotiating and managing high volumes of pre-M&A contracts such as NDAs, confidentiality agreements, NRLs, joinders, and engagement letters while adhering to agreed turnaround times. You'll build trusted advisor relationships with clients, maintain and update client playbooks to ensure consistency and quality, and collaborate with and mentor junior lawyers and paralegals. You'll also contribute to the continuous improvement of Carta's legal technology suite, including AI-backed tools like Carta's proprietary platform Ava, identifying new ways to innovate.
Requirements
- 6-8+ years of post law school corporate or transactional experience
- Track record of independently negotiating pre-M&A contracts such as NDAs, NRLs, joinders, and engagement letters
- Experience working with asset managers, investment banks, or other financial services firms
- Law degree and licensed to practice law in the Americas (US/Canada)
- Comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ)
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters
- Liaise directly with counterparties and adhere to agreed turnaround times
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with investment funds and asset managers
- Maintain and update client playbooks to ensure consistency and quality across contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work
- Contribute to the continuous improvement of Carta's legal technology suite using AI-backed tools
